Article 1 (Principle)
The Company provides blank Linux virtual machines with dedicated accelerator cards and does not install or license any EDA tool such as Vivado or Quartus.
When a customer installs or runs EDA tools, obtaining, activating, paying for, and complying with the license is entirely the customer’s responsibility (BYOL — Bring Your Own License).
Article 2 (Customer Responsibilities)
- Review and comply with the tool vendor’s license terms (seat counts, machine counts, geographic restrictions, etc.)
- Set up and operate any required floating license server at the customer’s own expense; the Company does not host license servers
- Do not install or use cracked tools or tools that circumvent licensing (AUP Article 3)
- Export controls: U.S.-origin EDA tools may be subject to U.S. EAR export and re-export rules; transfer to restricted regions or parties is prohibited
Article 3 (What the Company Provides)
- A blank VM with the requested specification (CPU, memory, storage, accelerator card) at instance creation
- Root access and network access for tool installation
- On request, incidental installation support (e.g., guidance on file upload paths) — the Company does not procure licenses on the customer’s behalf
Article 4 (When Problems Arise)
License disputes concerning the customer’s EDA tools are between the customer and the vendor; the Company is not a party. Where the vendor or law requires it, the Company may disclose customer identifying information.
If a license violation is confirmed, the Company may stop the affected instance immediately.
